These Terms of Service (“Terms”) govern your access to and use of the ERPNext-based application, website, and related services provided by Hildebrand Ligtas (“we,” “our,” or “us”) at:

By accessing or using the application, you agree to these Terms. If you do not agree to these Terms, you must not access or use the application.
1. Application Description
Our application is an ERPNext-based business management system used for project management, task tracking, meetings, calendar events, customer management, inventory, purchasing, sales, accounting, timesheets, document management, approvals, and related business operations.
The application may include integrations with third-party services, including Google OAuth and Google Calendar, when users or organizations choose to enable those features.
2. Eligibility
You may use the application only if:
- You are authorized by your organization or system administrator to access the application.
- You can legally enter into these Terms.
- You agree to comply with these Terms and all applicable laws and regulations.
If you are using the application on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that organization to these Terms.
3. User Accounts
To use certain features, you may be required to create an account or sign in using an authentication method such as Google OAuth.
You are responsible for:
- Providing accurate account information
- Keeping your login credentials secure
- Maintaining the confidentiality of your account
- All activity that occurs under your account
- Notifying your administrator or us immediately of unauthorized access or security concerns
We are not responsible for losses caused by unauthorized use of your account due to your failure to protect your login credentials.
4. Organization Access and Administration
If your account is managed by an organization, your access may be controlled by that organization’s administrator.
Organization administrators may be able to:
- Create, update, or deactivate user accounts
- Assign roles and permissions
- View business data entered into the application
- Configure workflows, approvals, integrations, and access controls
- Manage data retention and deletion settings
You acknowledge that your organization may access, manage, restrict, or remove your account and related business data according to its own internal policies.
5. Acceptable Use
You agree not to use the application to:
- Violate any applicable law, regulation, or third-party right
- Upload, store, or share illegal, harmful, abusive, defamatory, or fraudulent content
- Access or attempt to access accounts, systems, or data without authorization
- Interfere with or disrupt the application, servers, networks, or security systems
- Introduce viruses, malware, or harmful code
- Attempt to reverse engineer, copy, exploit, or misuse the application
- Circumvent user permissions, authentication, or access controls
- Use the application for spam, phishing, fraud, or unauthorized communications
- Misrepresent your identity or affiliation with any person or organization
We may suspend or terminate access if we believe these Terms have been violated.
6. Business Data and User Content
You and your organization retain ownership of the business data, documents, records, and content submitted to the application (“User Content”).
By submitting User Content, you grant us a limited right to process, store, transmit, and display that content only as necessary to provide, secure, support, and improve the application.
You are responsible for ensuring that:
- You have the right to submit the User Content
- The User Content is accurate and lawful
- The User Content does not violate the rights of others
- Your use of the application complies with your organization’s policies and applicable laws
We do not claim ownership over your User Content.
7. Google OAuth and Google API Integration
The application may allow users to sign in with Google or connect Google services such as Google Calendar.
By choosing to connect your Google account, you authorize the application to access only the Google account information and permissions you approve during the OAuth consent process.
Google integrations may be used for purposes such as:
- Signing in to the application
- Linking your Google account to your ERPNext user account
- Creating Google Calendar events from ERPNext meetings or schedules
- Adding event participants to Google Calendar events
- Synchronizing ERPNext events with Google Calendar
- Updating or removing calendar events created or managed through the application
We do not use Google user data for advertising. We do not sell Google user data.
Our use of Google user data is further described in our Privacy Policy.
8. Third-Party Services
The application may integrate with or link to third-party services, including Google services, hosting providers, email services, storage providers, or other business tools.
Your use of third-party services may be governed by separate terms and privacy policies from those providers.
We are not responsible for:
- Third-party service availability
- Changes to third-party APIs or features
- Data processing performed directly by third-party providers
- Errors, outages, or losses caused by third-party services
You are responsible for reviewing and complying with the terms of any third-party services you connect to the application.
9. Privacy
Your use of the application is also governed by our Privacy Policy, available at:

The Privacy Policy explains how we collect, use, store, share, protect, and delete information, including information received through Google OAuth and Google APIs.
By using the application, you agree to the practices described in the Privacy Policy.
10. Security
We use reasonable technical, administrative, and organizational measures to help protect the application and user data.
However, no system is completely secure. You acknowledge that:
- Internet-based services may be subject to security risks
- You are responsible for protecting your account credentials
- Your organization is responsible for assigning appropriate user permissions
- You should report suspected unauthorized access or security issues promptly
We may investigate and take action against activity that threatens the security or integrity of the application.
11. Availability and Changes to the Service
We aim to keep the application available and reliable, but we do not guarantee uninterrupted or error-free operation.
The application may be unavailable due to:
- Maintenance
- Updates
- System failures
- Hosting or network issues
- Third-party service outages
- Security incidents
- Events beyond our reasonable control
We may modify, suspend, or discontinue any part of the application at any time, with or without notice.
12. Fees and Payment
If your use of the application is subject to fees, payment terms will be provided separately through an agreement, invoice, subscription plan, or other written arrangement.
Unless otherwise stated:
- Fees are payable according to the agreed billing schedule
- Late payments may result in suspension of access
- Taxes, bank charges, or transaction fees may be your responsibility
- Fees are non-refundable except where required by law or agreed in writing
If there is no paid agreement, this section may not apply to your use of the application.
13. Intellectual Property
The application, including its software configuration, customizations, design, workflows, documentation, branding, and related materials, may be protected by intellectual property laws.
Except for your User Content, we and our licensors retain all rights, title, and interest in the application and related materials.
You may not copy, modify, distribute, sell, lease, or create derivative works from the application unless expressly authorized in writing.
ERPNext and related open-source components may be governed by their respective open-source licenses. Nothing in these Terms is intended to restrict rights granted under applicable open-source licenses.
14. Open-Source Software
The application may be built using ERPNext, Frappe Framework, and other open-source software.
Open-source software is provided under the applicable license terms of its respective owners. These Terms apply to our hosted application, custom configurations, integrations, support, and services, but do not override any rights or obligations under applicable open-source licenses.
15. Confidentiality
Users may access confidential business, financial, operational, customer, supplier, employee, or project information through the application.
You agree to:
- Use confidential information only for authorized business purposes
- Not disclose confidential information to unauthorized parties
- Follow your organization’s confidentiality and data protection policies
- Report unauthorized disclosure or access promptly
This obligation continues even after your access to the application ends.
16. Data Backup and Recovery
We may perform backups as part of normal system operations. However, unless separately agreed in writing, we do not guarantee that all data can be restored in every circumstance.
You and your organization are responsible for:
- Maintaining appropriate records
- Exporting important data when needed
- Reviewing backup requirements
- Ensuring business continuity procedures are in place
17. Suspension and Termination
We may suspend or terminate your access to the application if:
- You violate these Terms
- Your organization requests removal of your access
- Your account presents a security risk
- Required payments are not made
- Continued access may cause legal, security, or operational harm
- We discontinue the application or related services
Upon termination, your right to access the application ends immediately.
Certain provisions of these Terms will continue after termination, including sections related to confidentiality, intellectual property, disclaimers, limitation of liability, and dispute resolution.
18. Data Export and Deletion
Data export and deletion may depend on your role, permissions, organization settings, and applicable legal requirements.
You may request deletion of personal information or Google-connected data by contacting:

If your account is managed by an organization, your request may need to be handled by your organization’s administrator.
We may retain certain information as necessary to comply with legal, accounting, security, backup, or legitimate business requirements.
19. Disclaimers
The application is provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Availability
- Accuracy
- Reliability
- Error-free operation
We do not guarantee that the application will meet all business requirements, operate without interruption, or be free from defects or security risks.
20. Limitation of Liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunities.
Our total liability for any claim related to the application or these Terms will not exceed the amount paid by you or your organization for use of the application during the three months before the claim arose, or PHP 5,000 if no payment was made, unless applicable law requires otherwise.
21. Indemnification
You agree to defend, indemnify, and hold harmless us from and against any claims, damages, losses, liabilities, costs, and expenses arising from:
- Your use of the application
- Your violation of these Terms
- Your User Content
- Your violation of applicable laws
- Your violation of third-party rights
- Unauthorized use of your account caused by your failure to protect login credentials
If you are using the application on behalf of an organization, this obligation may also apply to that organization.
22. Compliance With Laws
You agree to use the application in compliance with all applicable laws, regulations, and industry requirements, including those related to:
- Data protection
- Privacy
- Employment
- Accounting
- Tax
- Export control
- Anti-fraud
- Business records
Your organization is responsible for determining whether the application is suitable for its legal and regulatory obligations.
23. No Professional Advice
The application may help manage business records, projects, accounting data, inventory, sales, purchases, or reports.
However, the application does not provide legal, tax, accounting, financial, or professional advice.
You should consult qualified professionals before relying on application data for legal, tax, accounting, financial, or compliance decisions.
24. Force Majeure
We are not responsible for failure or delay in performance caused by events beyond our reasonable control, including:
- Natural disasters
- Internet or hosting provider failures
- Power outages
- Government actions
- Labor disputes
- Cyberattacks
- Third-party service failures
- War, terrorism, or civil unrest
25. Changes to These Terms
We may update these Terms from time to time.
When we update these Terms, we will revise the “Last Updated” date above. Continued use of the application after changes become effective means you accept the updated Terms.
If you do not agree to the updated Terms, you must stop using the application.
26. Governing Law
These Terms are governed by the laws of the Republic of the Philippines, unless another governing law is required by a separate written agreement.
Any disputes arising from or related to these Terms or the application will be handled in the appropriate courts or legal venue in the Philippines, unless otherwise agreed in writing.
